Auto Place Vendor Agreement

This Marketplace Vendor Agreement (“Agreement”) is entered into between Auto Place or “autoplace.io”, (“Auto Place”) and Vendor or Vendor's representative above, offering Auto Sales & Digital Services (“Product(s)) on the Marketplace (“you” or “Partner”).
By listing Products and/or Services on a Marketplace, Vendor accepts the terms of this Agreement. Auto Place and Vendor are each referred to as a “Party” and collectively as the “Parties.”

Auto Place takes great pride in providing a reliable and trustworthy platform for buyers and sellers of AI Enabled Digital Marketing Solution around the globe. 

As a vendor, partner, agency or any affiliate you must adhere to Auto Place agreement below:

1. Introduction

This Agreement outlines the terms and conditions under which the Vendor may participate in the Auto Place marketplace and provide products and services to customers.

2. Scope of Services

2.1 The Vendor agrees to provide products and services, including marketing materials, listing pricing, to customers through the Auto Place marketplace or through a public link where Auto Place can download images and auto information for further publishing to the public and visitors.

2.3 The Vendor acknowledges that Auto Place may modify or update the marketplace services from time to time, and the Vendor agrees to comply with any such modifications or updates.

3. Fee and Payment

3.1 Auto Place is a platform that connects buyers and sellers around the globe to provide customers with Auto Place services and solutions. We do not charge any fees to buyers for using our platform. However, VENDOR may be required to pay a fee for marketing, advertising, platform and the sale of their autos and services. We reserve the right to remove any partner listing from our website at any time without notice.

Auto Place offers VENDOR without any monthly fee for 6 months to market their autos and services; however, if a lead and/or opportunity is generated through Auto Place, VENDOR agrees to pay Auto Place $500 for any closed deal. VENDOR is not obligated to pay if the lead does not close within a year.

3.2 VENDOR shall pay Auto Place within 5 business days when a deal is closed.

4. Non-Disclosure Agreement

4.1 The Vendor agrees to maintain the confidentiality of any confidential information disclosed by Auto Place during the course of this Agreement.

4.2 The Vendor shall not disclose any confidential information to any third party without the prior written consent of Auto Place.

4.3 The obligations of confidentiality shall survive the termination or expiration of this Agreement.

5 Term and Termination

5.1 This Agreement shall commence on the date of this agreement and both parties and shall continue until terminated by either party via written notice. 

5.2 Either party may terminate this Agreement by providing written notice to the other party.

5.3 Upon termination, the Vendor shall cease providing services through the Auto Place marketplace, and any outstanding fees or payments shall be settled immediately. 

5.4 All active leads will survive for a year until they successfully close and their associated fees are paid to Auto Place or the active leads and opportunities expire. 

6. Governing Law and Jurisdiction

6.1 This Agreement shall be governed by and construed in accordance with the laws of the state of California.

6.2 Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Alameda county court of the state of California.

7. Entire Agreement

7.1 This Agreement constitutes the entire agreement between Auto Place and the Vendor and supersedes all prior agreements, understandings, or representations, whether oral or written.

7.2 Any modifications or amendments to this Agreement must be made in writing and signed by both parties.

8. Limitation of Liability

AutoPlace.io and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) the Customer’s use of the platform; (b) any unauthorized access to or use of Zamzilla’s servers and/or any personal information stored therein; © any interruption or cessation of transmission to or from the platform; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the platform by any third party; (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the platform; and/or (f) the defamatory, offensive, or illegal conduct of any third party.

9. Summary

The Auto Place Marketplace Vendor Agreement outlines the terms and conditions for vendors to participate in the Auto Place marketplace and provide services to customers. The agreement includes provisions for the scope of services, fees, non-disclosure, term, termination, governing law, and jurisdiction. By entering into this agreement, both Auto Place and the Vendor ensure a mutually beneficial and legally protected relationship. It is important for both parties to carefully review and understand the terms of this agreement before proceeding with their participation in the Auto Place marketplace.

Further, Vendor agrees with the privacy policy and terms and conditions.
